Definition of an Accredited Investor

An individual must meet one of a number of criteria to be accredited.

  • $1,000,000 in net worth, not including equity in the primary residence
  • $200,000 in earnings by one member of the household for the past two consecutive years, with reason to expect that to continue in current year
  • $300,000 in earnings by spouses in the household for the past two consecutive years, with reason to expect that to continue in current year

The BIP Ventures Evergreen BDC is an equity BDC (Business Development Company). It is designed with the goal of enabling a greater number of accredited investors to participate in the Innovation Economy.1

BIP Ventures built the Evergreen BDC on a foundation of sector knowledge, an experienced investment team, proprietary data resources, and a disciplined allocation framework. The vehicle is designed to extend follow-on investments to promising businesses over longer growth timelines, aligning with our long-term investment philosophy.

With the Evergreen BDC, we extend our commitment to opening the potential of venture capital to more founders, investors, and advisors. The BDC is open to accredited investors and offers quarterly investment and annual liquidity windows. With it, BIP Ventures extends our commitment to alignment, transparency, and long-term partnership.

1. The Company is externally managed by its investment adviser, BIPCapital, LLC, doing venture capital business as BIP Ventures, (the “InvestmentAdviser” or “BIP Ventures”), an investment adviser that is registered with theSecurities and Exchange Commission (the “SEC”) under the InvestmentAdvisers Act of 1940, as amended.

2. The BIP Ventures Evergreen BDC ("BDC") is registered under the Securities Exchange Act of 1934 and therefore files periodic reporting with the US Securities and Exchange Commission. The shares of the BDC are not registered under the Securities Act of 1933.

3. The BDC intends to offer shareholders the ability to elect to sell a portion of their shares on an annual basis and will attempt to repurchase shares offered. The repurchase is subject to approval of the BDC's board of trustees, availability of liquidity in the BDC, and an overall transaction limit of 9% of the total outstanding shares of the BDC. Accordingly, there is no guarantee that liquidity may be available.
